MEEDEN UK Stress-Free Purchase Terms Of Service
Last Updated: December 6, 2024These Terms of Service (these “Terms”) govern your use of the MEEDEN Stress-Free Purchase service (also branded as Green Shipping Protection, Shipping Protection or similar service offerings, the “Service”).“We”, “us”, “our” or “MEEDEN” means MEEDEN, Inc., operating for the purposes of UK consumers under English and Welsh law.“You” means the individual or business customer accessing or purchasing the Service in the United Kingdom.IMPORTANT: THESE TERMS INCLUDE EXTENSIVE LIABILITY DISCLAIMERS AND LOSS EXCLUSIONS. PLEASE READ CAREFULLY.Your purchase or use of the Service constitutes your full acceptance of these Terms.
1. SERVICE COVERAGE & COMPENSATION
1.1 Covered Events
The Service provides compensation coverage for the following logistics-related events occurring after the merchant timely dispatches your order:
Delivery Delay: If delivery arrives later than the published predicted delivery timescale, you qualify for agreed compensation.
Loss / Non-Delivery: Compensation where the shipment is confirmed or presumed lost in transit.
Shipping Damage: Coverage for physical damage occurring during transit from dispatch to successful delivery.
Porch Piracy / Post-Delivery Theft: Coverage for package theft occurring after the carrier marks the item as successfully delivered to the correct delivery address.
In all cases, compensation amounts will never exceed the actual order value you paid.MEEDEN is only liable for loss, damage or delay arising from logistics and transit events after valid merchant dispatch. Product quality issues, manufacturing defects, user error or merchant order errors are not covered. All compensation amounts are determined by MEEDEN reasonably. Approved compensation will be issued to you via Visa gift card or alternative UK-compliant refund method.
1.2 How To Claim
To receive compensation, you must follow the claim instructions provided by your merchant and submit all required evidence within the time limits set out in these Terms.
2. AMENDMENTS TO TERMS
We may update, modify, add or remove any part of these Terms at any time. Minor operational changes take effect immediately upon publication and updated date revision. Material changes affecting customer rights will be notified reasonably in advance via website notice or email. Your continued use of the Service after the effective date of changes constitutes acceptance of the revised Terms. It is your responsibility to review these Terms regularly.
3. SERVICE FEES
The Service fee will be clearly displayed at checkout before purchase. You agree to pay the stated fee when purchasing Goods from the merchant. We reserve the right to adjust Service fees for future orders at our sole discretion.
4. DATA & PRIVACY (UK GDPR COMPLIANT)
All personal data processing complies with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. Your data is processed in accordance with our published Privacy Policy and the relevant merchant’s privacy policy.You acknowledge that service delivery requires electronic data transmission over public networks, which may be accessed by unauthorised third parties. You accept the inherent security risks of online data transmission.
5. EXTENSIVE DISCLAIMERS OF WARRANTIES & LIABILITY (FULL US-STYLE EXCLUSIONS, UK COMPLIANT)
Your use of the Service is entirely at your own risk. The Service is provided “as is” and “as available” without any representations, warranties or conditions of any kind, whether express or implied.To the fullest extent permitted by applicable law, MEEDEN excludes all warranties including, without limitation, implied warranties of merchantability, fitness for a particular purpose, quality, accuracy, title and non-infringement.We do not warrant that the Service will be uninterrupted, error-free, secure or available at all times. We do not manufacture, control or supply the underlying goods sold by the merchant, and we exclude all liability related to goods quality, merchant performance or non-logistics-related issues.Statutory Exception: Nothing in these Terms excludes or restricts liability for death or personal injury caused by our negligence, or liability for fraudulent misrepresentation, or any other liability that cannot be excluded under mandatory UK law.
6. INDEMNIFICATION
To the fullest extent permitted by UK law, you agree to indemnify, defend and hold harmless MEEDEN, its affiliates, officers, employees and agents from all third-party claims, losses, damages, costs and reasonable legal fees arising from:
Your breach of these Terms;
False, inaccurate or fraudulent information provided by you;
Your breach of applicable laws or third-party rights;
Your negligent or intentional conduct;
Disputes between you and the merchant arising from your use of the Service.
We may take exclusive control of any legal defence. You may not settle any claim without our prior written consent.
7. LIMITATIONS OF LIABILITY (FULL US-STYLE LOSS EXCLUSIONS APPLIED)
7.1 Exclusion of Indirect & Consequential Losses
Save for non-excludable statutory liability, under no circumstances shall MEEDEN be liable to you for any indirect, incidental, special, punitive, exemplary or consequential damages, including without limitation loss of profits, loss of data, loss of business, business interruption, financial loss or any similar economic loss arising out of or in connection with your use of the Service, regardless of legal theory.
7.2 Overall Liability Cap
Subject to mandatory UK law, our total aggregate liability for any claim arising out of these Terms shall not exceed the higher of:
(a) the total Service fee you paid; or
(b) £100 GBP.
7.3 Claim Time Limit
All causes of action arising from your use of the Service must be commenced within twelve (12) months after the cause accrues, unless a longer mandatory statutory period applies under UK law.
7.4 Independent Risk Allocation
Each liability limitation and disclaimer in these Terms represents a fair allocation of commercial risk between the parties, is reflected in the Service pricing, and is fully severable. Limitations apply even if foreseeable or if a limited remedy fails of its essential purpose.
8. DISPUTE RESOLUTION (UK CONSUMER COMPLIANT)
This UK Version does not impose mandatory arbitration or class action waivers on UK consumer customers.If you are a UK consumer acting for personal non-commercial purposes, you retain the right to bring proceedings in the courts of England and Wales or your local UK consumer court, and you may use approved Alternative Dispute Resolution (ADR) bodies.Business customers may enter into arbitration arrangements only by separate express written agreement.
9. ELECTRONIC COMMUNICATIONS CONSENT
You consent to receive all legal disclosures, Terms updates, privacy notices, billing information and service communications via email, website or digital platforms. You may unsubscribe from marketing communications, but you cannot opt out of essential contractual and legal communications required for service provision.
10. GENERAL UK CONTRACT PROVISIONS
10.1 Contract Relationship
MEEDEN acts as an independent contractor and not as your agent.
10.2 Assignment
We may assign our contractual rights and obligations without your consent. You may not assign your rights or obligations without our prior written consent.
10.3 Notices
All formal notices shall be in writing and delivered by email or registered post.
10.4 Force Majeure
We are not liable for any delay or failure to perform due to circumstances beyond our reasonable control.
10.5 Governing Law & Jurisdiction
These Terms are governed by the laws of England and Wales. The UN Convention on Contracts for the International Sale of Goods does not apply.
10.6 No Third-Party Beneficiaries
No third party may enforce these Terms pursuant to the Contracts (Rights of Third Parties) Act 1999.
10.7 Waiver & Severance
No waiver of any term shall constitute a continuing waiver. If any provision is found invalid or unenforceable, the remaining provisions shall remain in full force.
10.8 Entire Agreement
These Terms constitute the entire agreement between the parties and supersede all prior oral or written arrangements relating to the Service.
11. GEOGRAPHIC COVERAGE & SANCTIONS
Service coverage complies with HM Treasury sanctions regulations. Shipments to, from or within Afghanistan, Iran, Iraq, Libya, Somalia, Sudan, Syria and Yemen are excluded from coverage.
12. GOODS VALUATION
Insured goods are valued at the net invoice amount, excluding taxes, duties and freight costs.
13. SPECIFIC LIABILITY LIMITS PER SHIPMENT
Standard Shipments: up to £4,000 GBP per package
Electronic Devices (laptop, tablet, smartphone, smartwatch): up to £2,000 GBP per package
Delivery Delay: up to £8 GBP per package
14. INSURED & EXCLUDED GOODS
The Service covers lawful shipments where the customer holds an insurable interest.Excluded Goods: MEEDEN Pro Semi-Automatic Adjustable Large Capacity Mechanized Artwork Easel - DHJ-5 (no coverage applicable).
15. CLAIM NOTIFICATION TIME LIMITS (MANDATORY)
Final overall deadline: all claims must be notified within 90 days of order date
Loss / Non-Delivery: UK domestic within 30 days of dispatch; International within 60 days of dispatch
Shipping Damage: within 15 days after delivery date
Delivery Delay: UK domestic within 15 days of dispatch; International within 30 days of dispatch
16. DAMAGED GOODS HANDLING
You must retain all damaged goods and allow inspection before disposal, sale or modification. Where practicable, damaged goods may be reconditioned and resold after brand removal, with sale proceeds offsetting claim amounts. If salvage is not feasible, constructive total loss will be confirmed and goods disposed of appropriately.
17. SUBROGATION
Upon settlement of your claim, all rights and remedies against third parties including carriers shall be fully subrogated to MEEDEN. You shall fully cooperate with recovery proceedings and shall not release or compromise any third-party liability without our written consent.
